Modul 2: U.S.- Contract Law, Civil Procedure and Property Law (Engle)

 

This course will look at the fundamentals of U.S. contract law (elements of a contract, defences, damages) (2) with particular focus on the aspects of contract which concern international lawyers (choice of law and choice of jurisdiction clauses (1); binding arbitration clauses(1)) and business (secrecy agreements, covenants not to compete, (1) liquidated damage clauses (1)); contracts of adhesion and "fine print" (AGBs) (1)

As to civil procedure, the course will look at international and extraterritorial jurisdiction, thus principally federal jurisdiction (jurisdiction to prescribe, jurisdiction to adjudicate, jurisdiction to enforce (1); jurisdiction in personam, in rem, quasi in rem (1);   class actions(1))

As to property law, the course will look at real and personal property (1), intellectual property (2) trusts (1), negotiable instruments (1).

Der Kurs wird die Grundsätze U.S. Amerikanisches Vertragsrecht übertragen, fokussiert sich besonders auf Aspekte, die wichtig für transnationale Verträge sind. Nützliche internationale Zuständigkeitsfragen werden auch betrachtet. Der Kurs übermittelt entsprechenden Wortschatz, Kompetenzen in Lesen und Hören, Grammatik und Inhalt. Musterverträge (Forms) können angesehen werden, wenn erwünscht. Jedoch ist der U.S. Vertrag grundsätzlich "frei" gestaltet und muss keiner strengen Formulierung folgen.

Modul 4: U.S. - Business and Regulatory Law (Engle)

 

This course will examine corporate mergers and acquisitions(4), securities regulations(2)

consumer protection (1), antitrust (Sherman Act, OECD model treaty)(competition law)(2) taxation (taxation of multinational corporate groups (1); problems of double taxation (1); OECD tax convention(1)) anticorruption law (FCPA, OECD anti-bribery law)(1) and administrative law (3).

Der Kurs wird die Grundsätze des U.S. Amerikanischen Gesellschafts- und Verwaltungsrechts vermitteln. Betont werden die Internationalen Aspekte des Gesellschaftsrechts, wenn möglich mit entsprechenden Vergleichungen zum deutschen Recht. Der Kurs vermittelt Wortschatz, Kompetenzen mit Lesen und Hören, Grammatik, und Inhalt. 64 hours, English with German subtitles.
